Aradel Holdings Plc has concluded the acquisition of a 40% equity stake in ND Western Limited, a move that enhances its footprint in Nigeria's oil and gas sector. Through its subsidiary, Aradel Energy Limited, the company successfully met all regulatory and contractual prerequisites to finalize the transaction, originally announced in October 2025.

The acquisition sees Aradel Energy's stake in ND Western climb from 41.67% to 81.67%, thus establishing ND Western as a subsidiary. This shift also increases Aradel's indirect ownership in Renaissance Africa Energy Company Limited from 33.3% to 53.3%. ND Western controls a 45% interest in Oil Mining Lease 34 in the Western Niger Delta and holds a significant position in Renaissance Africa Energy Holding Company Ltd, which manages a key joint venture.

This strategic acquisition reflects Aradel Holdings' long-term goals of consolidating its portfolio and expanding its asset base. The transaction is expected to bolster Aradel’s operational scale and efficiency, aligning with its aim for sustainable value creation. Mr. Adegbite Falade, CEO of Aradel Holdings, emphasized that this move reinforces their status as a major player among indigenous energy companies in Nigeria, providing enhanced capacity to optimize their portfolio and drive shareholder value.

The acquisition comes amidst an increasingly competitive landscape in Nigeria's oil and gas sector, where domestic players are seeking greater control over lucrative assets. With larger equity in ND Western, Aradel is well-positioned to compete more effectively, leveraging increased production capacity and potential synergies catering to operational resilience.

The transaction received the necessary approvals from Nigerian authorities, including the Nigerian Upstream Petroleum Regulatory Commission and the Federal Competition & Consumer Protection Commission. As Aradel integrates these new assets, industry observers will be watching how the expanded operational scale translates into financial performance and market influence.
