Heirs Holdings Ltd., led by Nigerian entrepreneur Tony Elumelu, has agreed to acquire a 20 percent stake in Seplat Energy Plc, Nigeria's largest oil explorer by market value. The stake will be purchased from Etablissements Maurel & Prom SA for $496 million, underscoring Elumelu's strategy to broaden his influence in the African energy sector. Following the announcement, Seplat's shares surged 11 percent in London trading, while Maurel & Prom's stock rose 8 percent in Paris.

The transaction involves an initial payment of $248 million, with the remaining amount due within 30 days. The stake sale is priced at 305 pence ($0.4) per share. Heirs Holdings, which Elumelu founded in 2010 with a focus on investing in strategic sectors, highlighted the role of financial backing from the African Export-Import Bank and the Africa Finance Corporation in facilitating the acquisition. This move aligns with Elumelu's long-held belief in empowering Africa through the management of its own resources, as expressed in a statement from the company.

This acquisition is another step in Heirs' ongoing expansion in the oil and gas industry. Last year, Seplat strengthened its portfolio by acquiring local onshore and gas assets from Exxon Mobil Corp., while Heirs previously secured Shell Plc’s assets in 2021. The strategic acquisition of Seplat's stake aims to further bolster Heirs' operational footprint and production capabilities within a challenging Nigerian energy landscape.

The deal takes place in a sector grappling with significant challenges, including oil theft and infrastructure sabotage, impacting many local producers. Nevertheless, efforts by President Bola Tinubu to enhance security measures may provide a more stable environment for operations. Elumelu's acquisition comes on the heels of a $750 million funding boost from Afreximbank intended to ramp up production, indicating Heirs Holdings’ confidence in overcoming these sectoral hurdles.

Looking ahead, the transaction prompts questions regarding regulatory approvals, potential integration of assets, and its influence on Seplat's strategic initiatives. As Heirs Holdings advances with this latest acquisition, its ability to navigate Nigeria's complex oil industry dynamics will be closely watched by industry stakeholders.
