WSP Global tables $56B bid for Arcadis
WSP Global has made a revised offer to acquire Dutch engineering company Arcadis N.V. for approximately $56 billion. This proposal reflects an increase to EUR 51.50 per share from an initial offer of EUR 48.50, previously submitted and rejected by Arcadis. The new bid represents a significant premium of roughly 45.8% over Arcadis’ share price prior to the proposal.
The acquisition offer is structured to allow Arcadis shareholders to choose between cash and WSP shares, with about half of the consideration to be paid in cash and the remaining in stock, subject to proration. If extensively subscribed to WSP shares by Arcadis’ major shareholders, other shareholders could receive around 65% in cash and 35% in shares. The offer is positioned as accretive, enhancing WSP's earnings per share in the high-single-digit range before expected synergies and significantly more once those synergies are realized.
