Badger Meter acquires UDlive

Badger Meter has entered into a definitive agreement to acquire UDlive, a UK-based firm specializing in hardware-enabled software solutions for sewer line monitoring, for $100 million plus contingent consideration. The acquisition is expected to be finalized by the end of April 2026 and will be funded using Badger Meter's cash reserves.

This strategic purchase aims to solidify Badger Meter’s position in the expanding global market for sewer line monitoring. By integrating UDlive’s technologies, Badger Meter plans to enhance its BlueEdge suite and complement the existing U.S.-focused SmartCover platform. The merger will combine UDlive's strong market presence in the United Kingdom with SmartCover’s footprint in the United States, thereby broadening Badger Meter's capabilities in key markets globally.

UDlive, founded in 2017, is known for its low-power, easily installable water-level sensors that provide real-time insights into sewer network conditions. These insights are crucial for utilities looking to bolster operational efficiency and system resilience. The company boasted a 90% success rate in tenders and generated $22 million in revenue with positive operating profit for fiscal year 2026. Post-acquisition, Badger Meter intends to leverage its commercial infrastructure to boost UDlive’s presence beyond the UK, targeting additional international markets for expansion.

The acquisition is expected to benefit from sector trends such as aging water infrastructure, increased regulatory demands, and the necessity of data-driven wastewater management due to climate changes. These factors are pushing utilities globally to adopt advanced monitoring technologies that can mitigate overflow events and optimize resource allocation. Kenneth C. The closing of the transaction is subject to standard regulatory approvals and conditions. Upon completion, Badger Meter aims to capitalize on the synergies between UDlive and SmartCover to deliver value-added solutions to utilities managing complex wastewater systems. This move aligns with the company’s strategy to offer comprehensive hardware-enabled software solutions within the water cycle management space.
