Legence acquires The Bowers Group
Legence Corp. has finalized the acquisition of The Bowers Group for $475 million, marking a significant expansion in its service capabilities within the mechanical systems sector. The transaction, previously announced, positions Legence to bolster its offerings in mechanical, plumbing, and process systems solutions, particularly in the Northern Virginia and D.C. metro areas, where Bowers has established a strong reputation over its 40-year history.
The acquisition's financial terms include an initial cash payment of $325 million, financed through existing cash reserves and additional borrowing. This was supported by increasing Legence's term loan capacity by $200 million and issuing approximately 2.55 million new shares of Class A common stock. An extra $50 million in deferred payments will be settled by the end of 2026, either in cash or shares, depending on Legence's discretion. The structured financial arrangement underscores Legence's strategic intent to grow through targeted acquisitions.
This acquisition allows Legence to integrate Bowers’ expertise with its own, enhancing its service portfolio for existing and new clients.
