Laird Superfood acquires Terrasoul Superfoods
Laird Superfood, based in Colorado, has acquired Fort Worth-based Terrasoul Superfoods for $48 million in cash, with potential earnout provisions adding up to an additional $5 million depending on future performance milestones. This acquisition was financed through a concurrent private placement of $60 million of Series A convertible preferred stock to affiliates of Nexus Capital Management. Post-transaction, Nexus is set to own 71.7% of Laird Superfood on a fully diluted basis.
