Troy-CSL Lighting acquires Schoolhouse
Hudson Valley Lighting Group has acquired Schoolhouse, a Portland-based lighting and décor company, for $2.2 million in a transaction resulting from a bankruptcy auction involving Food52. This acquisition by Hudon Valley reflects its strategic intent to diversify its portfolio and enhance its presence in broader home categories beyond just lighting.
The details of the acquisition indicate that, beyond the $2.2 million price, Hudson Valley Lighting Group will also assume Schoolhouse's outstanding liabilities. Schoolhouse will now operate under the umbrella of Hudson Valley's other brands, including Troy Lighting, Corbett Lighting, and Mitzi, continuing its manufacturing and sale of lighting, textiles, and hardware products. The brand was originally acquired by Food52 in December 2021 for $48 million in a mix of cash and stock, illustrating a significant devaluation in this latest transaction.
According to Malaina Matheus, President of Hudson Valley Lighting Group, Schoolhouse's focus on blending traditional and modern design aligns well with Hudson Valley Lighting Group's existing market strategy. Matheus emphasized that the addition of Schoolhouse to Hudson Valley's brand portfolio closes a critical gap and broadens the group's product offering, allowing continued penetration into lifestyle-oriented home décor.
This acquisition comes amidst a competitive and evolving lighting and décor sector characterized by consolidation and strategic diversification. With high-profile acquisitions such as Visual Comfort’s purchase of Pooky Lighting, players in the industry are notably angling for broader market coverage and integrated offerings. Hudson Valley's latest move mirrors such trends, potentially positioning it to capture market segments that emphasize stylistic coherence across lighting and broader home furnishings.
Moving forward, Schoolhouse is on a temporary hiatus from accepting new orders as it integrates with Hudson Valley Lighting Group. The integration process and reopening of its Portland showroom, alongside the relaunch of its product range, will be significant next phases as both companies aim to operationalize synergies derived from this acquisition.
