Ondas Acquires Cyberhawk for $125 Million

Ondas has agreed to acquire Cyberhawk in a transaction valued at approximately $125 million, a strategic bid to enhance its capabilities in drone-based infrastructure intelligence and AI-powered analytics. Cyberhawk is noted for providing drone inspection services and visual data management for utility, energy, and industrial clients globally, including major companies like PG&E and Shell. This acquisition is set to bolster Ondas' platform in industrial infrastructure and support its ambitions in the autonomous intelligence sector across defense and critical infrastructure.

The financial terms include approximately 95% of the payment in cash, with around $5 million of Cyberhawk leadership's proceeds converted into Ondas stock, subject to a one-year lock-up. The deal is anticipated to close in the third quarter of 2026, pending regulatory approvals and standard conditions. Cyberhawk’s extensive experience in conducting more than 500,000 infrastructure inspections and managing over 232 terabytes of data will be integrated into Ondas’ existing autonomous systems and mission automation technologies.

Ondas’ acquisition of Cyberhawk aims to create a comprehensive platform that combines both companies' strengths in autonomous data collection, AI-driven analytics, and operational decision support. This move aligns with Ondas’ strategy to solidify its position in providing solutions for critical infrastructure resilience and energy security—a growing priority for national security.

The acquisition will keep Cyberhawk’s operations in inspection, software, and analytics ongoing. This continues its focus on servicing long-term contracts and software subscriptions, which currently account for 95% of its recurring revenue. Cyberhawk forecasts revenues exceeding $45 million by March 2027, with significant margin expansion expected by 2030 due to the integration.

This transaction reflects the increasing importance of dual-use technology companies catering both to commercial and defense sectors, as exemplified by the combined capabilities of Ondas and Cyberhawk. The acquisition not only represents a scaling up of Ondas' market presence but also underscores the trend towards integrated technological solutions in the infrastructure intelligence space.
