Berli Jucker Public Company Limited (BJC) has announced its acquisition of MM Mega Market Vietnam for over VND19.3 trillion (approximately 22.5 billion baht), marking a significant expansion within the ASEAN region. The acquisition will be conducted through BJC’s subsidiary, C-Distribution Asia Pte. Ltd. (CDA), which will purchase 100% of TCC Land International (Singapore), currently the sole owner of MM Mega Market. This move positions BJC to directly control a wholesale chain comprising 30 outlets across Vietnam.

The financial transaction is set to conclude in the second quarter of 2026, following approval from BJC's shareholders at an extraordinary general meeting scheduled for February 13, 2026, and completion of necessary legal proceedings, including competition clearance in Vietnam. The acquisition reflects more than 30% of BJC’s net tangible assets, underscoring its scale and significance within the company’s portfolio.

Strategically, BJC aims to leverage MM Mega Market Vietnam to fortify its distribution capabilities, enhancing its reach across wholesale, retail, and online channels. The direct ownership is expected to bolster its supply chain management and competitive positioning in Vietnam, one of Southeast Asia's rapidly developing markets. MM Mega Market Vietnam has demonstrated strong financial performance, with revenues of approximately 17.8 billion baht and net profits of 442 million baht in 2024, indicating a solid operational base.

For BJC, the acquisition is more than an expansion of physical assets; it represents a strategic platform for synergy creation in procurement, logistics, and supply chain activities not only within Vietnam but also across BJC’s existing markets in Thailand, Laos, and Cambodia. The transaction underscores BJC's broader market strategy to capitalize on Vietnam's economic growth while tapping into MM Mega Market's large client base of professional customers, such as hotels and food service operators.

As BJC awaits shareholder and regulatory approvals, the focus will be on navigating Vietnam’s complex regulatory landscape and securing a competitive edge in the wholesale sector. The acquisition’s success hinges on effective integration, which could redefine market dynamics and pose challenges to competitors seeking similar expansions in the region.
