Incap Corporation has finalized the acquisition of Lacon Group for €50 million, equivalent to approximately $54 million. This strategic acquisition, initially agreed upon in December of last year, was completed following the necessary regulatory clearances in Germany and Romania on February 19, 2026. With this move, Lacon Group, known for its facilities in Germany and Romania, becomes a fully owned subsidiary of the Finnish electronics manufacturing services (EMS) provider, Incap. The financial performance of Lacon will be integrated into Incap’s financial statements starting February 20, 2026.

Lacon Group operates in the EMS sector, with manufacturing sites in Karlsfeld, Glinde, and Boxberg, Germany, as well as Galați, Romania, covering a total of 21,300 square metres. During the first ten months of 2025, the company reported unaudited pro forma IFRS revenues of €57.2 million and an adjusted EBITDA of €6.7 million. Lacon employs 603 staff, with a significant portion located in Romania.

The acquisition enhances Incap's growth prospects, particularly within the German market, which is Europe's largest EMS market. By integrating Lacon's operations, Incap not only bolsters its existing manufacturing capabilities but also strengthens its position in the region. Lacon's presence in Germany and the expansion into Romania are crucial for Incap’s strategic aim of broadening its footprint and improving service delivery across Europe.

In the broader market context, this acquisition underscores the competitive dynamics within the EMS and original design manufacturing (ODM) sectors, where scale and geographic reach are increasingly pivotal. As other firms in the EMS and ODM sectors evaluate similar expansions, Incap’s move represents a strategic bid to stay ahead in a rapidly evolving industry landscape. Competitors may need to reconsider their regional strategies in light of Incap's enhanced position.

Looking ahead, Incap will focus on the successful integration of Lacon into its corporate structure, which will be essential in realizing the anticipated synergies from the acquisition. Key considerations will likely involve aligning Lacon's operations with Incap’s existing business units and identifying growth opportunities leveraging the expanded operational base.
