Hahn acquires K Car
Hahn & Company has successfully refinanced the debt associated with its acquisition of K Car, a leading used-car platform in South Korea. By extending the maturity of its loan-backed acquisition, the private equity firm has gained additional time to pursue a sale, easing immediate financial pressures. The refinancing, organized by Hana Bank, involves KRW 533 billion in debt secured against 71.44% of K Car shares. Originally set to mature in January 2026, the loan's new term extends to January 2030, albeit at a higher interest rate in the high-5% range.
The refinancing move is strategically significant for Hahn & Company, which has been exploring the sale of its controlling stake in K Car since 2022 without success. The firm is also seeking buyers for K Car Capital, the financial arm established for installment financing alongside the platform's launch. By relieving repayment burdens, Hahn & Company can avoid cutting sale prices and instead maintain control over negotiations, focusing on enhancing K Car's value to secure favorable returns from potential purchasers.
Despite the prolonged sale process, K Car’s financial performance remains robust. The company is expected to achieve record revenue, with projections for last year's figures at KRW 2.437 trillion, surpassing 2024 levels. Operating profit is anticipated to reach KRW 77.9 billion, surpassing the previous high recorded in 2021. Hahn & Company has already extracted value from its initial 2018 investment of approximately KRW 220 billion through a secondary share sale in 2021, which raised KRW 306.5 billion following K Car's listing on the KOSPI.
This development occurs amid a competitive second-hand vehicle sector in South Korea. K Car's resilient performance sets a benchmark while Hahn & Company's strategic refinancing indicates a disciplined capital management approach. Competitors will likely observe how the firm's planned exit and the continued operational success of K Car influence market dynamics and valuation expectations.
As Hahn & Company leverages this refinancing to facilitate a future exit strategy, the focus will remain on enhancing K Car’s enterprise value. The success of this venture hinges on balancing operational effectiveness with favorable market conditions that align with its sale aspirations by the newly extended 2030 deadline.
