Orezone Gold acquires Hecla
Orezone Gold Corporation has concluded its acquisition of Hecla Quebec Inc., securing full ownership of the Casa Berardi gold mine and several exploration properties in Quebec, a prominent mining region. The $600 million transaction strengthens Orezone's position as a diversified multi-asset producer in a Tier 1 jurisdiction, enhancing its scale, production capacity, and potential for free cash flow generation.
The acquisition involves an upfront payment of $160 million in cash and the issuance of 65,757,265 common shares to a subsidiary of Hecla Mining Company, equating to a 9.9% equity stake in Orezone post-transaction. An additional $80 million in deferred cash payments will be made over the next 30 months. The deal includes contingent payments up to $241 million tied to gold prices and milestones in permitting and future production from open pits at Casa Berardi.
Strategically, this move allows Orezone to tap into Casa Berardi’s existing production capabilities while facilitating exploration at multiple advanced-stage projects, including Heva-Hosco and Duverny. With a substantial resource base exceeding 3.2 million ounces of gold produced to date, Casa Berardi provides Orezone with a solid foundation for further growth. The company plans to optimize existing operations and ramp up underground production, supported by new trade-off studies and a comprehensive exploration drill program.
The acquisition signifies a shift towards consolidating assets within top-tier jurisdictions amid a broader trend of de-risking portfolios in the mining sector. Orezone’s expansion in Quebec aligns with broader industry patterns wherein companies seek stable, resource-rich environments.
