TDR Capital, a European private equity firm, is acquiring Escode from the UK-based NCC Group for $369 million. This transaction involves Herringbone Acquisitions Limited and Herringbone Acquisitions Inc., units controlled by TDR's managed funds. The transaction values Escode at £275 million, equivalent to $369.2 million. Upon completion, NCC expects net proceeds of about £262.4 million after adjustments and transaction costs, estimated at £10 million. Previous divestitures include divisions Fox-IT DetACT and Fox-IT Crypto, netting a combined enterprise value of approximately £349 million. NCC CEO Mike Maddison emphasized that the divestment allows the company to accelerate growth in its cybersecurity resilience business. Maddison detailed recent initiatives, which include strengthening strategic sales capabilities and introducing technology-led, recurring-revenue services. By aligning resources towards its cyber operations, NCC aims to deepen client relationships and expand recurring revenues. Chair Chris Stone lauded the sale as an excellent outcome for shareholders, facilitating a substantial capital return and enabling management to focus on underlying business growth.

This sale is part of a broader trend within the cybersecurity sector, where companies are realigning their operations to address escalating digital threats. With TDR Capital's acquisition of Escode, the private equity firm seeks to bolster its portfolio with a proven software escrow business that has achieved 13 consecutive quarters of revenue growth on a constant currency basis, according to NCC's financial results.

The transaction is scheduled to complete no earlier than April 30, 2026, contingent on regulatory approvals and fulfillment of other customary closing conditions. As NCC consults shareholders on the distribution of the sale proceeds, it remains focused on enhancing its core cybersecurity services, armed with a streamlined focus and bolstered financial flexibility.
