Clobot acquires Doosan
Clobot, a South Korean robotics and AI company, is advancing its strategic plan to transform into a comprehensive robotics provider by acquiring Doosan Logistics Solutions Co. (DLS) from Doosan Corp. Despite financial concerns surrounding both companies, Clobot is pressing ahead with the acquisition. The move is part of Clobot’s strategy to bolster its capabilities in logistics automation and robotics.
Regulatory filings indicate Clobot has submitted a binding offer to gain management control of DLS, using a cash-free, debt-free enterprise value framework with additional price adjustments. The company plans to sign a definitive agreement by the end of the month and expects to conclude the transaction, including payment, by August. While the acquisition price has not been disclosed, DLS had previously been valued at around 70 billion won in search of potential buyers.
The acquisition's strategic significance is underscored by Clobot's goal to expand its reach within the global robotics market. DLS provides logistics systems integration focused on factory automation and smart factory projects. It offers services to clients such as Daiso, Dongwha Pharm, and Harim Industrial. For Clobot, acquiring DLS means gaining crucial infrastructure and know-how in logistics environments, propelling Clobot’s pivot towards a full-stack robotics company. The firm sees this acquisition as key to entering large enterprise procurement markets and enhancing its robotics solutions with DLS's operational data.
Amid the competitive automation and logistics landscape, this acquisition positions Clobot to leverage DLS's design, construction, and equipment installation expertise. The addition of DLS's capabilities in warehouse management systems and control systems enhances Clobot's offering, particularly its robotic logistics automation and advanced control systems like "CROMS" and "CHAMELEON". Inspired by Symbotic's success, Clobot aims to establish a significant presence in logistics automation, incorporating DLS technologies into its subscription-based platform model.
Nevertheless, the transaction is not without risks, particularly financial. Both Clobot and DLS are facing scrutiny over their financial health, raising market concerns about the integration and long-term viability of the deal. As Clobot proceeds with finalizing the agreement, achieving clear integration synergy and maintaining financial stability will be critical to address these apprehensions and ensure the acquisition's success in the coming months.
