Diana Shipping Reaffirms Acquisition of Genco
Diana Shipping has reiterated its commitment to acquiring Genco Shipping & Trading Ltd following a failed attempt to influence its board's composition through a proxy battle. Diana, which owns over 14% of Genco, reaffirmed its proposal as it seeks to capitalize on the current high valuations in the drybulk shipping market.
After pursuing Genco for over six months and having its initial offers rejected, Diana upped its bid to $24.80 in cash for each Genco share, also adding one share of Diana stock, valued at approximately $2.10. According to Diana, this proposal represents a 53% premium over Genco's trading price before the merger offer was made public last November, and a 6% premium over Genco’s net asset value as estimated by VesselsValue. Despite prior rejections, Diana contends that this offer appropriately acknowledges Genco's net asset value and potential for shareholder returns, urging Genco’s reelected board to engage in negotiations.
The acquisition attempt comes as drybulk asset values are reported to be reaching 15-year highs. Amid this market backdrop, Diana argues that its offer delivers definite cash gains and a stake in a potentially more profitable combined entity. By maintaining its position, Diana underscores its expectation that Genco’s board fulfills promises made to shareholders during the recent proxy campaign to enhance share value.
