Mazagon Dock Shipbuilders acquires Colombo Dockyard
Mazagon Dock Shipbuilders Limited (MDL), a state-owned defence shipbuilder, has acquired a 41.73% stake in Colombo Dockyard PLC for approximately $53 million. This transaction, reported in regulatory filings, represents MDL's strategic move to bolster its international presence in the shipbuilding industry. The stake acquisition was facilitated through the purchase of unsubscribed rights shares previously held by the Japanese company, Onomichi Dockyard Co. Ltd, totaling 16.49 crore fully paid ordinary shares of Colombo Dockyard.
The acquisition aligns MDL with Sri Lanka's takeover regulations, necessitating a mandatory offer to existing Colombo Dockyard shareholders as per Rule 31(1)(a) of Sri Lanka’s Takeovers and Mergers Code, 1995. This move is expected to be part of a broader Tripartite Agreement between Mazagon Dock, Colombo Dockyard, and Onomichi Dockyard. MDL indicated that subsequent developments would be disclosed in line with SEBI's Listing Obligations and Disclosure Requirements.
