Ares acquires Whitestone REIT
Ares Management Corporation has finalized an agreement to acquire Whitestone REIT in an all-cash transaction valued at approximately $1.7 billion. This acquisition will result in Whitestone transitioning to a private entity, removing its shares from the New York Stock Exchange once the deal closes. The move underscores Ares' strategic intentions to expand its reach in the real estate sector, particularly in the high-growth markets where Whitestone operates.
The agreement stipulates that Ares will acquire all outstanding common shares and operating partnership units of Whitestone at $19.00 per share. This offer represents a 12.2% premium over Whitestone's closing stock price on April 8, 2026, and a 26.5% increase compared to the stock’s price before the speculation about a sale. Whitestone's real estate holdings include 56 retail properties covering approximately 4.9 million square feet, strategically located in metropolitan areas like Phoenix, Austin, and the Dallas-Fort Worth region.
Whitestone’s board of trustees unanimously approved the acquisition, with expectations for the transaction to complete in the third quarter of 2026, pending shareholder approval and customary conditions. Notably, the deal is not subject to any financing contingencies. Financial advisement for Whitestone was provided by BofA Securities and Jones Lang LaSalle Securities, with legal guidance from Bass Berry & Sims. Ares’ team was advised by Citigroup Global Markets and Morgan Stanley & Co. LLC, with Kirkland & Ellis LLP as legal counsel.
For Ares, the acquisition of Whitestone aligns with its strategy to capitalize on necessity-based retail centers that fulfill contemporary consumer demands for convenience-based experiences, such as grocery and healthcare services. This approach is aimed at solidifying Ares' presence in supply-constrained metro regions across Arizona and Texas. David Roth, Ares' Global Head of Real Estate Strategy and Growth, emphasized the strategic fit of Whitestone’s portfolio in supporting Ares’ expansion plans within the New Economy real estate market.
As this transaction unfolds, focus will turn to the integration of Whitestone into Ares' broader real estate operations and how the consolidation will impact shareholders and local communities alike. The closing awaits shareholder affirmation and the completion of regulatory conditions. The broader market will be observing how Ares’ play affects competitive dynamics in the retail property segment, especially within its targeted high-demand regions.
