SpaceX has reportedly raised $750 billion in a funding round, as the aerospace company gears up for what could become the largest initial public offering (IPO) in history. According to sources, the private firm, founded by Elon Musk, has filed the necessary S-1 documents with the U.S. Securities and Exchange Commission, with a public offer anticipated for June. The IPO seeks to raise capital at a valuation of $1.75 trillion, dwarfing the previous record held by Saudi Aramco’s $29.4 billion IPO in 2019.

The proposal comes on the heels of SpaceX's recent integration of xAI, Musk's artificial intelligence startup, which was acquired in a stock deal valued at $250 billion. This merger has expanded SpaceX's operations beyond space transportation and satellite internet to now include AI development. Financial disclosures indicate that the combined entity forecasts around $18.7 billion in revenues by 2025, yet a significant net loss of approximately $4.9 billion, largely due to xAI’s operations.

Strategically, the fundraising and planned IPO reflect SpaceX's ambitions to maintain its dominance in commercial space launches and to leverage growth in satellite internet through its Starlink service. The Starlink division, already profitable, earned estimated revenues exceeding $11.4 billion last year, with strong EBITDA margins. However, the AI segment is anticipated to incur substantial losses, prompting questions about the sustainability of SpaceX's financial model and its heavy reliance on future cash flows from Starlink.

Market structures are adapting to accommodate the upcoming SpaceX IPO. Nasdaq has modified its index inclusion rules to potentially add new issues like SpaceX to the Nasdaq 100 within just 15 days of listing. Similarly, S&P Dow Jones Indices is contemplating reducing waiting periods and waiving profitability and float requirements for IPO newcomers in the S&P 500. These changes could lead to significant buying pressure from index-tracking funds once SpaceX becomes publicly traded.

Looking ahead, the central issues for investors include evaluating the endurance of Starlink’s cash flow to offset xAI’s expenditures, and whether the development timelines for SpaceX's technologies align with the pricing implied by its valuation. SpaceX’s governance structure, where Musk holds substantial voting control, also presents potential risks. The company's debut on public markets will test the appetite for SpaceX’s vision of a vertically integrated aerospace and technology conglomerate.
