Repligen Acquires BioLife Solutions for $1.5B
Repligen Corporation has announced it will acquire BioLife Solutions in a cash-and-stock deal valued at approximately $1.5 billion. This transaction aims to significantly bolster Repligen's footprint in the burgeoning cell and gene therapy market.
Under the terms of the agreement, BioLife shareholders will receive $11.25 in cash and 0.1442 shares of Repligen for each BioLife share held. This consideration was initially valued at $31 per share, marking a 24% premium over BioLife's 90-day volume-weighted average share price as of July 21, 2026. The deal involves 64% of the consideration in Repligen common stock, with the rest in cash, funded through Repligen’s cash reserves. The boards of both organizations have unanimously approved the agreement.
The acquisition is set to expand Repligen's offerings to include BioLife’s biopreservation products, which are crucial in cell therapy manufacturing and distribution. BioLife specializes in products like CryoStor, a leading platform used for preserving the integrity of cells during freezing and storage. This portfolio aligns with Repligen’s existing technologies in filtration, chromatography, and process analytics, potentially broadening its product suite in biologics and cell therapy production. Repligen expects the acquisition to enhance its revenue growth rate, improve adjusted earnings per share, and deliver significant synergies by reducing duplicate costs and improving supply chain efficiency.
Repligen anticipates maintaining over $300 million in liquidity post-transaction, preserving its ability to pursue further growth opportunities. The acquisition is expected to contribute positively to earnings immediately, with adjusted EPS projected to increase by at least $0.05 in the first year and $0.25 in the second year. The company also forecasts at least $20 million in synergies in the first year and $30 million in the second, driven by efficiency gains and cost reductions.
The deal, expected to conclude in the fourth quarter of 2026, is contingent upon BioLife shareholder approval and regulatory clearances. Repligen is advised by Perella Weinberg and Goldman Sachs, with Goodwin Procter as legal counsel. BioLife’s advisers include Centerview Partners, with legal guidance from K&L Gates.
