Setna iO has acquired a majority stake in J&C Aero, a European firm specializing in cabin interiors, as part of its strategic entry into the European aerospace design and maintenance sector. Although financial terms were not disclosed, the acquisition underscores Setna iO’s goal to broaden its operational capabilities in the aerospace industry.

Under the acquisition, J&C Aero's five founders will retain a significant equity interest and continue to manage daily operations. Laurynas Skukauskas, CEO of J&C Aero, emphasized the partnership's importance for the company’s evolving growth strategy. “Finding the right partner was critical for us,” Skukauskas stated, pointing out that Setna iO shares a compatible business vision. The acquisition plans to facilitate J&C Aero's international expansion without altering its existing operational dynamics.

Setna iO, based in Chicago, is known for its expertise in used serviceable material, repair services, and asset leasing. The acquisition of J&C Aero marks its expansion into certified design, production, and maintenance capabilities in Europe. Setna iO’s Founder and CEO, David Chaimovitz, highlighted the acquisition's strategic value, noting that J&C Aero's capabilities complement Setna iO's global platform, thereby enhancing their lifecycle management operations across the aerospace sector.

The deal arrives at a time when aerospace companies are increasingly seeking to bolster their service offerings and geographical footprints amid rising demand for comprehensive lifecycle solutions. Setna iO's move enhances its competitive positioning against sector rivals pursuing similar integration strategies in aerospace engineering and repair services.

The transaction, advised financially by Talisman and legally by Walless for J&C, is anticipated to close by the second quarter of 2026, pending customary regulatory approvals. Setna iO received legal services from Averus and Gould & Ratner LLP, while financial analyses were conducted by Plante Moran and PwC. This timeline affords both companies an opportunity to align their operations and leverage combined strengths in preparation for expanded international operations.
