GNI Group Co., Ltd. has agreed to acquire Ayumi Pharmaceutical Holdings Co., Ltd., for approximately ¥44.8 billion (around $300 million USD), marking a significant expansion of GNI's commercial operations in Japan. Ayumi will become a wholly owned subsidiary, bolstering GNI’s position as a prominent biopharmaceutical entity in key therapeutic areas.

The acquisition allows GNI Group to enhance its commercial capabilities and broaden its portfolio in Japan, specifically in pain management and rheumatology. Ayumi’s flagship product, Calonal® (acetaminophen), commands over 80% of Japan’s acetaminophen market, and they maintain a strong product presence in rheumatology and orthopedics. The transaction is expected to propel GNI's fiscal revenue to approximately ¥65.2 billion in 2026.

Ying Luo, President and CEO of GNI, emphasized the strategic importance of the deal, noting its role in executing GNI's strategy to become a major biopharmaceutical player across the Pacific. Luo highlighted the integration of Ayumi’s commercial infrastructure and leading pain management portfolio as a catalyst for accelerating product delivery to address unmet medical needs in Japan. The acquisition also welcomes former Ayumi stakeholders, including Blackstone, as GNI shareholders.

For Blackstone, which originally steered Ayumi as the first private equity investment in Japan, the sale underscores a successful growth phase that reinforced Ayumi's market position. Blackstone’s Atsuhiko Sakamoto expressed a commitment to support Ayumi's future endeavors under GNI's leadership.

This acquisition comes as GNI Group aims to establish a recurrent revenue base in Japan and seize new licensing and commercialization prospects. By leveraging Ayumi's market access and distribution facilities, GNI aims to facilitate the introduction of both overseas pharmaceuticals and biosimilars into Japan. The expanded geographic revenue base covering Japan, China, and the United States further underscores GNI’s approach to sustainable long-term growth.

Moving forward, the transaction is anticipated to expand GNI’s scale, workforce, and product pipeline significantly. These elements are expected to foster opportunities for cross-selling and portfolio synergies, enhancing GNI’s cash flow and financial stability. As the firm integrates Ayumi’s operations, the sector will watch how effectively GNI capitalizes on these new strategic avenues.
